Terms Of Use

By accessing and using MusoLoop (the “Website”), you agree to comply with and be bound by the following terms and conditions of use. Please read these Terms of Use carefully before using the Website.

1. Acceptance of Terms

By registering for an account and using the services provided by MusoLoop, you acknowledge that you have read, understood, and agree to be bound by these Terms of Use. If you do not agree with any part of these terms, please do not use the Website.

2. User Registration

  1. To access certain features of the Website, you may be required to create a user account. You are responsible for maintaining the confidentiality of your account information and password.
  2. You are responsible for all activity carried out through your account, including activity performed by any Additional Paid Users associated with your account.
  3. You must promptly notify MusoLoop if you become aware of any unauthorised access to or use of your account.

3. User Content

  1. MusoLoop provides users with the ability to upload content, including but not limited to text, images, audio files, documents, and other media (“User Content”).
  2. You retain ownership of your User Content. You grant MusoLoop a limited, non-exclusive licence to host, copy, process, modify, transmit, and display your User Content only as reasonably necessary to provide, maintain, secure, and improve the services you request.
  3. You are solely responsible for the User Content you upload to or process through the Website.
  4. By uploading or processing User Content, you represent and warrant that:
    1. You own the User Content or have obtained all licences, permissions, consents, and other rights required to upload, store, process, modify, download, and use it through MusoLoop.
    2. Your use of the User Content through MusoLoop does not infringe any copyright, performers’ rights, moral rights, privacy rights, contractual rights, or other rights belonging to another person.
    3. You are authorised to permit MusoLoop and its service providers to process the User Content on your behalf.
  5. User Content must not include any:
    1. Hate speech or discriminatory, abusive, or offensive content.
    2. Pornographic or sexually explicit material.
    3. Illegal, infringing, malicious, or harmful content.
    4. Content that you are not legally authorised to upload or process.
  6. MusoLoop reserves the right to review, restrict, disable, or remove User Content that violates these Terms of Use or applicable law. Accounts found in violation may be suspended or terminated without prior notice where reasonably necessary.
  7. MusoLoop does not endorse User Content and is not responsible for determining whether you have the necessary rights or permissions to use it. MusoLoop may request evidence of your rights or permissions and may remove or restrict access to content while a complaint is investigated.

4. Audio Uploads and Stem Separation

  1. MusoLoop may provide an automated audio stem-separation feature that uses artificial intelligence to separate an uploaded audio recording into vocals, drums, bass, and other instrumental components (“Generated Stems”).
  2. The stem-separation feature accepts MP3 files only. MusoLoop does not support importing audio directly from Spotify, Apple Music, YouTube, or other streaming services.
  3. You must not use MusoLoop to copy, download, capture, extract, circumvent access controls for, or otherwise obtain recordings from a streaming service or any other source contrary to that service’s terms or applicable law.
  4. Before submitting an MP3 for stem separation, you must confirm that you own the recording or have all permissions and licences required to upload and process it and to create, use, store, and download the Generated Stems.
  5. Your confirmation may be recorded with information including your user account, the applicable song, the date and time, and the associated processing job.
  6. Audio separation is performed automatically and may use third-party infrastructure and artificial intelligence service providers acting on MusoLoop’s behalf. Your uploaded MP3 and Generated Stems may be securely transmitted to and temporarily processed or stored by those providers.
  7. Stem separation may not be accurate or free from defects. Generated Stems may contain audio bleed, omissions, timing differences, compression artefacts, or other errors. MusoLoop does not guarantee professional, studio-quality, or commercially suitable results.
  8. You are responsible for reviewing Generated Stems before applying, publishing, performing, distributing, or otherwise relying on them.
  9. Generated Stems may be previewed and downloaded by eligible users. Downloading Generated Stems does not grant you any ownership, copyright, licence, or other rights in the source recording that you did not already possess.
  10. Unapplied Generated Stems and associated temporary processing files may be automatically deleted 14 days after they are generated. You are responsible for reviewing, applying, or downloading any Generated Stems you wish to retain before the retention period expires.
  11. Generated Stems that you apply to a song may remain stored as part of your User Content, subject to your subscription, account status, these Terms of Use, and MusoLoop’s applicable storage policies.
  12. MusoLoop may suspend or disable a separation job where it reasonably suspects infringement, misuse, excessive automated activity, a security risk, or a breach of these Terms of Use.

5. Stem-Separation Eligibility and Allowance

  1. The stem-separation feature is available to eligible account holders and active Additional Paid Users on all paid subscription tiers, subject to account status and any technical or geographic restrictions.
  2. Each eligible account receives an allowance of up to 30 successful stem conversions per calendar month. This allowance is shared between the account holder and all Additional Paid Users associated with the account.
  3. A conversion is counted when all four Generated Stems have been successfully created and imported into MusoLoop. A processing job that fails before completion will not ordinarily count towards the allowance.
  4. Unused conversions do not roll over into a later month and have no cash value.
  5. MusoLoop may use reasonable technical measures to prevent duplicate submissions, abuse, circumvention of account limits, or excessive use.
  6. Processing availability and completion times are not guaranteed. Jobs may be delayed due to file size, demand, maintenance, third-party availability, or other technical factors.
  7. MusoLoop may modify allowances, eligibility rules, supported formats, file-size limits, retention periods, or feature availability by giving reasonable notice where practical. Changes will not limit any rights that cannot lawfully be excluded under Australian Consumer Law.

6. Copyright Complaints

  1. If you believe that content stored or processed through MusoLoop infringes your copyright or other rights, please contact [email protected] and provide sufficient information for MusoLoop to identify the content and assess your complaint.
  2. MusoLoop may remove or restrict access to allegedly infringing content while investigating a complaint.
  3. MusoLoop may suspend or terminate accounts involved in repeated or serious infringement.
  4. You are responsible for any claims, losses, costs, or liabilities arising from User Content you upload or process, except to the extent that responsibility cannot lawfully be imposed on you.

7. Subscription & Cancellation

  1. New paid accounts include a 30-day free trial. A payment method is required to start the trial. You will not be charged during the trial if you cancel before it ends.
  2. MusoLoop operates on a subscription basis, processed securely via Stripe. When your trial ends, you authorise MusoLoop and Stripe to charge your selected payment method for recurring payments at the interval you chose at signup (monthly, quarterly, or annually) until you cancel.
  3. You may cancel your subscription at any time through your MusoLoop account dashboard. Upon cancellation, your subscription will remain active until the end of your current billing period, after which access to paid features will automatically expire.   4. No prorated refunds are provided for unused portions of a paid subscription period. To avoid being charged for the next period, you must cancel before your next billing date. If you cancel during the trial, you will not be charged.
  5. Failed payments or charge disputes may result in temporary suspension or termination of your account.
  6. Cancellation, suspension, or expiry of a subscription may prevent you and your Additional Paid Users from starting new stem-separation jobs or accessing other paid features.
  7. You are responsible for downloading or otherwise retaining any User Content you require before your access expires. MusoLoop may delete stored content following account closure or the expiry of any applicable retention period.

8. Refund Policy

  1. If you cancel during the trial, you will not be charged.
  2. After the trial, subscription fees are prepaid for the billing period you chose. MusoLoop does not offer refunds for unused time, unused stem conversions, early cancellation, account deletion, or termination resulting from a violation of these Terms of Use, except where Australian Consumer Law requires otherwise.
  3. Nothing in these Terms of Use excludes, restricts, or modifies any consumer guarantee, right, or remedy that cannot lawfully be excluded under Australian Consumer Law.

9. MusoLoop Intellectual Property

  1. The Website, MusoLoop branding, software, interface, design, graphics, logos, and materials created by MusoLoop are owned by or licensed to MusoLoop and are protected by intellectual property laws.
  2. Your ownership of User Content is not transferred to MusoLoop merely because you upload or process it through the Website.
  3. You must not copy, modify, reverse-engineer, redistribute, sell, or exploit any part of the Website except as expressly permitted by MusoLoop or applicable law.

10. Third-Party Services

  1. MusoLoop relies on third-party services for functions including payment processing, hosting, storage, communications, and artificial intelligence processing.
  2. The availability of some MusoLoop features may depend on those third-party services. MusoLoop is not responsible for interruptions or failures outside its reasonable control, subject to any rights you may have under applicable law.
  3. Third-party services may process limited account or User Content data as necessary to provide their services to MusoLoop. Such processing is also subject to MusoLoop’s Privacy Policy and applicable data-protection requirements.

11. Availability and Limitation of Liability

  1. MusoLoop does not guarantee that the Website or any feature will always be available, uninterrupted, secure, or error-free.
  2. To the maximum extent permitted by law, MusoLoop is not responsible for indirect or consequential loss arising from your use of, or inability to use, the Website, including loss resulting from failed processing, deleted temporary files, inaccurate Generated Stems, or your use of content without the necessary rights.
  3. You are responsible for maintaining independent backups of important audio files, Generated Stems, and other User Content.
  4. Nothing in these Terms of Use excludes or limits liability that cannot lawfully be excluded or limited.

12. Termination of Account

  1. MusoLoop may suspend or terminate your account if you violate these Terms of Use, misuse the Website, fail to pay applicable fees, infringe another person’s rights, or create a material security or legal risk.
  2. Where appropriate, MusoLoop may provide notice and an opportunity to remedy a violation before termination. Immediate action may be taken where reasonably necessary to prevent harm, infringement, fraud, or unlawful activity.
  3. Following termination, MusoLoop may delete User Content in accordance with its retention practices and legal obligations.

13. Changes to Terms

  1. MusoLoop may update or modify these Terms of Use from time to time.
  2. Where a change is material, MusoLoop will provide reasonable notice through the Website, by email, or through another appropriate method.
  3. Your continued use of the Website after updated terms take effect constitutes acceptance of those terms. If you do not accept the updated terms, you should stop using the Website and cancel your subscription.

14. Governing Law

  1. These Terms of Use are governed by the laws of Australia and the applicable laws of the Australian state or territory in which MusoLoop operates, without limiting any rights you may have under Australian Consumer Law.
